1. Agreement to Terms
Welcome to Networkli! These Terms of Service ("Terms") govern your access to and use of Networkli's website (www.networkli.co), mobile applications, and related services (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access the Service.
Important:
These Terms contain an arbitration clause and class action waiver that affects your legal rights. Please read Section 16 carefully.
1.1 About Networkli
Networkli is a professional networking platform that helps community leaders facilitate meaningful connections among their members through AI-powered matching technology. We focus on helping leaders retain members by enabling deep, meaningful relationships within their communities.
1.2 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or prominent notice on our Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
2. Eligibility and User Types
2.1 Age Requirement
You must be 18 years or older to use Networkli.
By using our Service, you represent and warrant that you are at least 18 years of age. We do not knowingly collect information from or allow registration by anyone under 18.
2.2 Capacity to Enter Agreement
By using our Service, you represent that:
- You have the legal capacity to enter into these Terms
- You are not prohibited from using the Service under any applicable laws
- You will comply with these Terms and all applicable local, state, national, and international laws
2.3 User Types
Networkli has two primary user types:
Community Leaders
- Paid subscribers who create and manage communities/groups
- Can invite members to join their groups
- Access analytics dashboards and member insights
- Responsible for their group's compliance with these Terms
- Subject to additional payment and subscription terms (Section 5)
Members
- Join groups led by community leaders (via invitation or application)
- Can connect with other members through AI-powered matching
- Access core networking features (profile, connections, messaging)
- Free to use for members (leaders pay subscription fees)
3. Account Registration and Security
3.1 Account Creation
To access most features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate
- Maintain the security of your password and account
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
3.2 Account Information
When creating your account and profile, you will provide:
- Required information: Name, email, password, ZIP code, professional information (title, company, industry)
- Optional information: Profile photo, bio, social media links, skills, interests, goals, values
- AI matching preferences: Expertise, needs, meaningful goals (helps our matching algorithm)
3.3 One Account Per Person
You may only create one account. Creating multiple accounts may result in suspension or termination of all accounts.
3.4 Account Security
You are responsible for:
- Safeguarding your password (do not share it with anyone)
- Restricting access to your device and account
- All activities that occur under your account, whether authorized or not
- Immediately notifying us at support@networkli.co if you suspect unauthorized access
3.5 Account Deletion
You may delete your account at any time through Settings → Delete Account. Upon deletion:
- Your profile and content will be removed within 30 days
- Some information may be retained for legal compliance
- Anonymized analytics data may be retained
- You cannot recover your account after deletion
- Active subscriptions must be canceled before deletion (refunds subject to Section 5.6)
4. User Content and Conduct
4.1 Your Content
"User Content" means any content you post, upload, share, or transmit through the Service, including:
- Profile information (bio, professional details, photos)
- Messages sent to other users
- Comments, feedback, and other communications
4.2 Your Responsibilities for Content
You represent and warrant that:
- You own or have the necessary rights to post your User Content
- Your User Content does not violate any third-party rights (intellectual property, privacy, etc.)
- Your User Content complies with these Terms and applicable laws
- You are solely responsible for your User Content and the consequences of posting it
4.3 License to Networkli
By posting User Content, you grant Networkli a worldwide, non-exclusive, royalty-free license to:
- Use, reproduce, modify, and display your User Content to provide the Service
- Process your content through our AI matching algorithms
- Create embeddings and derivatives for matching purposes
- Display your profile to other members (based on your privacy settings)
- Use aggregated, anonymized data for analytics and improvement
Important: This license ends when you delete your User Content or account, except for content that has been shared with others or is required for legal compliance.
4.4 Prohibited Content
You may not post User Content that:
- Is illegal, fraudulent, defamatory, obscene, pornographic, or otherwise objectionable
- Infringes any intellectual property or other proprietary rights
- Contains viruses, malware, or other harmful code
- Harasses, threatens, or intimidates any person
- Promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age
- Contains false or misleading information
- Violates anyone's privacy or publicity rights
- Involves child sexual abuse material (CSAM) or exploitation of minors
- Promotes illegal activities, violence, or self-harm
- Impersonates any person or entity
4.5 Prohibited Conduct
You may not:
- Spam or unsolicited contact: Send unsolicited commercial messages, spam, or chain messages
- Harassment: Harass, stalk, threaten, or abuse other users
- Scraping: Use automated systems (bots, scrapers) to access the Service
- Reverse engineering: Reverse engineer, decompile, or attempt to derive source code
- Interference: Interfere with or disrupt the Service or servers/networks
- Circumvention: Bypass any measures we use to prevent/restrict access
- False information: Provide false registration information or impersonate others
- Unauthorized access: Access accounts, data, or systems you're not authorized to access
- Commercial use: Use the Service for commercial purposes without our written permission (except as a paid community leader)
- Data harvesting: Collect or harvest data about other users without permission
4.6 Content Moderation
We reserve the right, but not the obligation, to:
- Monitor, review, and moderate User Content
- Remove or disable any User Content that violates these Terms
- Suspend or terminate accounts that violate these Terms
- Cooperate with law enforcement investigations
We use a combination of automated systems and human review for moderation. However, we do not pre-screen all content and cannot guarantee that all prohibited content will be identified or removed.
4.7 Reporting Violations
If you see content or behavior that violates these Terms:
- Use the in-app "Report" feature on profiles and messages
- Email support@networkli.co with details
- For child safety concerns, email dthadd13@gmail.com immediately
5. Subscriptions and Payments (Leaders Only)
Community leaders must maintain an active paid subscription to access leader features. Members use the platform for free.
5.1 Subscription Plans
We offer tiered subscription plans for community leaders:
- Starter: $49/month or $490/year (up to 100 members)
- Professional: $149/month or $1,490/year (up to 500 members)
- Business: $349/month or $3,490/year (up to 2,000 members)
- Enterprise: Custom pricing (unlimited members, sales-led)

5.2 Tier-Based Member Limits
Each plan includes a specific member limit. All features are included in every tier. When you exceed your current tier's member limit, you will be automatically upgraded to the next tier:
- Starter: Up to 100 members
- Professional: Up to 500 members
- Business: Up to 2,000 members
- Enterprise: Unlimited members (contact sales)
You will receive notification before any automatic tier upgrade occurs. Upgrades are prorated based on your billing cycle.
5.3 Payment Processing
- All payments are processed through Stripe, our third-party payment processor
- You authorize us to charge your payment method on file for all fees
- You must provide current, complete, and accurate billing information
- You must promptly update your payment information if it changes
- All fees are in US Dollars (USD) unless otherwise stated
5.4 Billing Cycle and Renewal
- Monthly subscriptions: Renew automatically on the same day each month
- Annual subscriptions: Renew automatically one year from purchase date
- You will be charged automatically unless you cancel before the renewal date
- We will send renewal notices via email at least 7 days before charging
5.5 Cancellation
- You may cancel your subscription at any time through Settings → Subscription
- Cancellation takes effect at the end of your current billing period
- You retain access to leader features until the end of the paid period
- No refunds for partial billing periods (unless required by law)
- Upon cancellation, your group memberships continue, but you lose leader access and analytics
5.6 Refunds
All sales are final except:
- 14-day trial: If you cancel within your first 14 days, you'll receive a full refund
- Service issues: If we fail to provide the Service due to technical problems on our end, you may be eligible for a prorated refund
- Required by law: Refunds as required by applicable consumer protection laws
To request a refund, contact support@networkli.co with your account details and reason.
5.7 Failed Payments
If a payment fails:
- We will attempt to charge your payment method up to 3 times over 14 days
- We'll send email notifications about failed payments
- If payment fails after retries, your subscription will be suspended
- You'll have 30 days to resolve payment issues before your account is downgraded
- Late fees may apply as permitted by law
5.8 Price Changes
- We may change subscription prices at any time
- We'll notify you at least 30 days before price changes take effect
- Price changes apply at your next renewal after the notice period
- You may cancel before the new price takes effect if you disagree
- Continuing your subscription after notice constitutes acceptance of the new price
5.9 Taxes
You are responsible for any applicable sales, use, value-added, or other taxes (except taxes on Networkli's income). We may collect taxes if required by law.
6. AI Matching Technology
Networkli uses artificial intelligence and machine learning to facilitate connections. By using the Service, you understand and agree that:
6.1 How AI Matching Works
- We create vector embeddings (mathematical representations) of your profile information
- Our algorithms compare profiles to identify potential connections
- We use both attribute matching and neural network-based predictions
- Match quality improves as you use the Service and provide feedback
6.2 No Guarantees
- We do not guarantee that you will make any specific connections
- AI recommendations are suggestions, not guarantees of compatibility
- Match quality depends on profile completeness and accuracy
- We are not responsible for the behavior or actions of other users
6.3 Your Consent
By using the Service, you consent to:
- Processing of your profile data through AI algorithms
- Creation and storage of vector embeddings
- Use of your interactions to improve matching algorithms (anonymized)
- Display of your profile to potential connections based on matching

7. Intellectual Property Rights
7.1 Networkli's Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are owned by Networkli and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
This includes:
- The Networkli name, logo, and branding
- Software, code, algorithms, and AI models
- Design, layout, and user interface
- Text, graphics, images, and other content we create
7.2 Limited License to Use Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Service for your personal, non-commercial use
- Download our mobile app on your personal device
This license automatically terminates if you violate these Terms.
7.3 Restrictions on Use
You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble the Service
- Remove or alter any copyright, trademark, or proprietary notices
- Use the Service for commercial purposes without our written permission
- Frame or mirror any part of the Service without our permission
- Use any automated system to access the Service
7.4 Copyright Infringement (DMCA)
We respect intellectual property rights. If you believe content on our Service infringes your copyright, please send a DMCA notice to legal@networkli.co with:
- Description of the copyrighted work you claim has been infringed
- Location of the allegedly infringing content on our Service
- Your contact information (address, phone, email)
- Statement that you have a good faith belief the use is unauthorized
- Statement that the information is accurate and you're authorized to act
- Your physical or electronic signature
8. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
8.1 Service Availability
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results from using the Service will be accurate or reliable
- The quality of any products, services, information, or content obtained through the Service will meet your expectations
- Any errors will be corrected
8.2 Third-Party Content
We are not responsible for:
- User Content posted by other users
- Actions or conduct of other users
- Third-party websites linked from our Service
- Third-party services integrated with our Service
8.3 Limitation of Liability
Important Legal Notice
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETWORKLI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or use of our servers and/or any personal information stored therein
- Any interruption or cessation of transmission to or from the Service
- Any bugs, viruses, or other harmful code transmitted through the Service
- Any errors or omissions in any content or for any loss or damage incurred from use of any content
- The conduct or content of any third party on the Service
IN NO EVENT SHALL NETWORKLI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
8.4 State-Specific Rights
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
9. Indemnification
You agree to defend, indemnify, and hold harmless Networkli, its affiliates, and their respective officers, directors, employees, agents, and contractors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:
- Your use of and access to the Service
- Your violation of these Terms
- Your User Content
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any claims that your User Content caused damage to a third party
This indemnification obligation will survive termination of these Terms and your use of the Service.
10. Termination and Suspension
10.1 Termination by You
You may terminate your account at any time by:
- Going to Settings → Delete Account
- Contacting support@networkli.co
You remain responsible for all charges incurred prior to termination.
10.2 Termination by Networkli
We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Extended period of inactivity
- Failed payment (for leaders)
- Upon your request
- At our sole discretion
10.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- We may delete your account and content (subject to retention policies)
- You remain liable for all charges incurred prior to termination
- No refunds will be provided (except as required by law)
- Sections that by their nature should survive will survive (e.g., indemnification, disclaimers, limitations)
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in [Your County], [Your State], and you irrevocably consent to the jurisdiction of such courts.
12. Dispute Resolution and Arbitration

This section affects your legal rights, including your right to file a lawsuit in court and to have a jury hear your claims.
12.1 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting legal@networkli.co. We'll attempt to resolve the dispute informally by contacting you via email.
If a dispute is not resolved within 60 days after submission, you or Networkli may bring a formal proceeding.
12.2 Binding Arbitration
If informal resolution fails, you and Networkli agree that any dispute will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).

- Each party will bear its own costs and fees
- The arbitrator may award the same damages and relief as a court
12.3 Class Action Waiver
You and Networkli agree that:
- Any dispute must be brought in the parties' individual capacity
- Not as a plaintiff or class member in any purported class, collective, representative, or private attorney general action
- The arbitrator may not consolidate more than one person's claims
- You waive any right to have your case decided by a jury
12.4 Exceptions
Either party may bring suit in court for:
- Injunctive or other equitable relief related to intellectual property rights
- Small claims court matters (if they qualify)
12.5 Opt-Out
You have the right to opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms to legal@networkli.co with subject line "Arbitration Opt-Out" and your account information.
13. Miscellaneous
13.1 Entire Agreement
These Terms, along with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Networkli.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
13.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
13.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
13.6 Export Controls
The Service may be subject to US export control laws. You agree not to export or re-export the Service in violation of such laws.
13.7 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.
